Arc Trips Payment Terms of Service

These Payment Terms of Service ("Payment Terms") constitute a legally binding agreement between you and Arc Trips Payment Services, which governs the payment services conducted through or in connection with the Arc Trips platform.

Arc Trips Payment Services provides payment services to members who publish, offer, and book accommodations or other Provider services on the Arc Trips platform. These payment services may include (where available):

  • Collecting payments from Guests by charging the payment method linked to their Arc Trips account

  • Processing payments to Providers through their designated financial accounts

  • Processing payments to third parties designated by a Provider

  • Collecting and distributing charitable donations

  • Other payment-related services connected to Provider Services

To use our Payment Services, you must be at least 18 years old, maintain an Arc Trips account in good standing, and keep your payment and personal information accurate and complete.

1. Your Use of the Payment Services

1.1 Arc Trips Payment Services

By using the Payment Services, you agree to comply with these Payment Terms. Arc Trips Payment Services may temporarily limit or suspend your access to the Payment Services to perform maintenance that ensures proper functioning. We may improve, enhance, and modify the Payment Services and introduce new features from time to time. We will notify you of any material changes that increase your contractual obligations or decrease your rights under these Payment Terms.

1.2 Third-Party Services

The Payment Services may contain links to third-party websites or resources ("Third-Party Services") subject to different terms of service and privacy policies. You should review these policies before use. Arc Trips Payment Services is not responsible for Third-Party Services, and links to such services do not constitute our endorsement.

1.3 Your Arc Trips Account

Arc Trips Payment Services may enable features allowing you to authorize other members or third parties to take actions affecting your Arc Trips account. By authorizing a third party to use your account, you acknowledge that their use of Payment Services will be on your behalf, and you will be responsible for any payments they make.

1.4 Identification and Verification

You authorize Arc Trips Payment Services, directly or through third parties, to make inquiries necessary to verify your identity and information, and if applicable, to verify the identity of your representatives and beneficial owners. This may include:

  • Screening against third-party databases

  • Requesting reports from service providers

  • Requesting government identification to verify your name, birthdate, address, nationality, or other necessary information

  • Requiring confirmation of email ownership, payment methods, or payout methods

Arc Trips Payment Services reserves the right to terminate, suspend, or limit access to Payment Services if we cannot obtain or verify any required information.

1.5 Additional Terms

Your access to specific Payment Services may require acceptance of additional terms. If a conflict exists between these Payment Terms and terms applicable to a specific Payment Service, the latter will take precedence regarding that specific service, unless specified otherwise.

2. Guest Terms

2.1 Adding a Payment Method

When adding a Payment Method to your Arc Trips account, you must provide billing information such as name, billing address, and financial instrument details to Arc Trips Payment Services or its third-party payment processors. You authorize Arc Trips Payment Services and its payment service providers to collect and store your Payment Method information.

2.2 Payment Method Verification

When adding or using a Payment Method, Arc Trips Payment Services may verify it by:

  • Authorizing nominal amounts through a payment service provider and asking you to confirm these amounts, or

  • Requesting you to upload a billing statement

We may initiate refunds of these verification amounts. When adding a Payment Method during checkout, we automatically save it to your Arc Trips account for future transactions. You may not remove the Payment Method associated with a reservation during the period from booking through fourteen (14) days after checkout, or during resolution of any damage claims associated with your booking.

2.3 Payment Authorization

You authorize Arc Trips Payment Services to charge your Payment Method (including multiple methods if necessary) for all fees (including applicable taxes) connected with your Arc Trips account, including damage claim amounts. When paying through a bank account, you authorize Arc Trips Payment Services to debit your account according to the payment schedule shown at checkout. You also authorize Arc Trips Payment Services to further debit or credit your bank account to correct errors, make adjustments, or issue refunds.

2.4 Automatic Update of Payment Method

If your Payment Method information changes (e.g., account number, routing number, expiration date) due to re-issuance or other reasons, we may acquire that information from our financial partners or your bank and automatically update your Payment Method.

2.5 Timing of Payment

Arc Trips Payment Services typically charges the Total Price after the Provider accepts your booking request. However, if you use certain payment methods (such as direct bank transfers), we may collect the Total Price when you submit your booking request or after Provider acceptance. Arc Trips Payment Services may offer alternative payment timing options with associated fees displayed on the platform and included in the Total Price. If Arc Trips Payment Services cannot collect the Total Price as scheduled, we will attempt collection at a later time. Upon successful payment, you will receive a confirmation email.

2.6 Currency

2.6.1

Available payment currencies may be limited based on regulatory or operational factors, your selected Payment Method, your country of residence, and/or your Arc Trips Payment Services contracting entity. Such limitations will be communicated via the platform, and you will be prompted to select an alternative currency or Payment Method if needed.

2.6.2

If your Arc Trips Payment Services contracting entity is in a different country than your Payment Method provider, or if your selected currency differs from your Payment Method's billing currency, your payment may be processed internationally. Your Payment Method provider may impose international transaction fees and foreign exchange fees, and the amount on your statement may differ from the checkout amount. For example, using a U.S. card but selecting Euros as your currency may result in international processing fees. Additionally, if you select a currency different from your Payment Method's billing currency, your bank may convert the payment amount using their exchange rate and fees. Arc Trips Payment Services is not responsible for these fees and disclaims all liability in this regard. Contact your Payment Method provider with questions about these fees.

2.7 Booking Request Status

If a booking request is declined by the Provider, you cancel before Provider acceptance, or Arc Trips cancels the booking, any collected amounts due to you under applicable policies will be refunded, and any pre-authorization of your Payment Method will be released according to Section 5.5.2.

2.8 Payment Restrictions

Arc Trips Payment Services reserves the right to decline or limit payments that we believe:

  • May violate our risk management policies or procedures

  • May violate these Payment Terms or the Terms of Service

  • Are unauthorized, fraudulent, or illegal

  • May expose you, Arc Trips, Arc Trips Payment Services, or others to unacceptable risks

2.9 Payment Service Providers

Payment Methods may involve third-party payment service providers who may charge additional fees for processing payments. Arc Trips Payment Services is not responsible for these fees and disclaims all liability in this regard. Your Payment Method may also be subject to additional terms of use, which you should review before using.

2.10 Your Payment Method, Your Responsibility

Arc Trips Payment Services is not responsible for losses resulting from incorrect Payment Method information provided by you.

2.11 Different Payment Options

2.11.1 Pay Part Now, Part Later

Arc Trips may offer Guests the option to pay a portion of the booking's Total Price at booking and the remainder prior to check-in. Availability depends on the listing and/or Payment Method, with no additional fees for using this option.

If you choose this payment plan, the platform will notify you during checkout of the amount, currency, and schedule of each payment. Any credits, coupons, or gift cards will be applied before calculating payment amounts. On the due date, Arc Trips Payment Services will automatically charge your original Payment Method.

When modifying a booking made with this payment plan, Arc Trips will notify you of the revised payment schedule, and Arc Trips Payment Services will automatically charge your original Payment Method on the revised due dates. If the modification increases your Total Price, you may need to make an additional partial payment at the time of modification.

By selecting this payment plan, you acknowledge that you may not be able to use a different Payment Method or payment schedule.

If Arc Trips Payment Services cannot collect your payment, we will notify you and require payment using an alternative Payment Method within 72 hours. Failure to complete payment authorizes Arc Trips to cancel the booking on your behalf, with refunds based on the Provider's cancellation policy.

2.11.2 Recurring Payments

For certain bookings (such as accommodations of twenty-eight (28) nights or more), Arc Trips Payment Services may require Guests to make recurring, incremental payments toward the Total Price ("Recurring Payments"). Details on payment amounts and frequency will be available on the platform if applicable.

For confirmed bookings with Recurring Payments, you authorize Arc Trips Payment Services to collect the Total Price in installments.

You may stop a Recurring Payment by notifying Arc Trips Payment Services verbally or in writing at least three (3) business days before the scheduled payment date. We may require written confirmation within fourteen (14) days of verbal notification. If you fail to provide written confirmation within that period, Arc Trips Payment Services is not obligated to honor future stop-payment requests.

2.11.3 Installment Payment Options

Guests may be offered the option to pay for accommodations through credit or installment options provided by third-party financial institutions. These Payment Methods are provided by partner banks or financial institutions, not Arc Trips Payment Services. By selecting such options, you establish a separate relationship between yourself as the borrower and the financial institution as the lender, subject to additional terms provided at checkout. Please review all applicable terms before using these Payment Methods.

3. Provider Terms

3.1 Payment Collection

Arc Trips Payment Services generally collects the Total Price of a booking when the Guest's booking request is accepted by the Provider, unless noted otherwise.

3.2 Valid Payout Method

To receive payouts, you must have a valid Payout Method linked to your Arc Trips account. When adding a Payout Method, you may need to provide:

  • Name, government identification, and tax ID

  • Billing address and financial instrument information

  • Residential address, account type, routing number, account number

  • Email address, payout currency, and identification information

Additional information may be required depending on the Payout Method selected. Providing requested information is required for a valid Payout Method. Required information may change, and Arc Trips Payment Services may request additional information at any time. Failure to provide requested information may result in holds, suspensions, or cancellations of payouts until the information is provided and validated. You authorize Arc Trips Payment Services to collect and store your Payout Method information according to our Privacy Policy. We may also share your information with governmental authorities as required by law.

3.3 Timing of Payout

3.3.1

Subject to successful receipt of payments from Guests, Arc Trips Payment Services will initiate Payouts to your selected Payout Method:

  • For Accommodations: by the end of the business day after the Guest's scheduled check-in

  • For other Provider Services: at the time specified on the Arc Trips platform

For Accommodation bookings of twenty-eight (28) nights or more, Arc Trips Payment Services will initiate the first payout by the end of the business day after check-in and future payouts every 30 days thereafter for the duration of the reservation.

3.3.2

Arc Trips Payment Services may offer different payout timing options subject to additional terms. The time to receive payouts after release by Arc Trips Payment Services depends on your selected Payout Method.

3.4 Payout Calculation

Your Payout for a booking will be the Total Price less applicable fees (such as Arc Trips service fees and taxes) and any amounts you agree to allocate to co-Providers, property owners, homeowners' associations, or their agents. In the event of booking cancellation, Arc Trips Payment Services will remit any amount due to you according to the Terms of Service and applicable cancellation policy.

3.5 Payout Restrictions

Arc Trips Payment Services may temporarily hold, suspend, or cancel any Payout to prevent unlawful activity or fraud, for risk assessment, security purposes, or while completing an investigation. We may also temporarily hold, suspend, or delay Payouts due to high-volume booking cancellations or modifications resulting from a Force Majeure Event (defined in Section 9).

3.6 Payout Currency

Arc Trips Payment Services will process your Payouts in the currency applicable to your selected Payout Method. Available currencies may be limited based on regulatory or operational factors, your Payout Method, country of residence, or Arc Trips contracting entity. Any limitations will be communicated via the platform, and you will be prompted to select a different currency or Payout Method if needed. Payment service providers may impose transaction, currency conversion, or other fees based on your selected currency or Payout Method. Arc Trips Payment Services is not responsible for these fees and disclaims all liability in this regard.

3.7 Limits on Payouts

For compliance or operational reasons, Arc Trips Payment Services may limit Payout amounts. If you are due an amount above that limit, we may process a series of Payouts (potentially over multiple days) to provide your full amount.

3.8 Payment Service Providers

Payout Methods may involve third-party payment service providers who may charge additional fees (including deductions from your Payout amount). Arc Trips Payment Services is not responsible for such fees and disclaims all liability. Your Payout Method may also be subject to additional terms from these providers, which you should review before use.

3.9 Handling of Funds

Arc Trips Payment Services may combine amounts collected from Guests and invest them as permitted by applicable laws. Arc Trips Payment Services will retain any interest earned on these investments.

3.10 Your Payout Method, Your Responsibility

Arc Trips Payment Services is not responsible for losses resulting from incorrect Payout Method information provided by you.

3.11 Different Payout Options

3.11.1 Split Payouts

If you provide Provider Services jointly with other Providers as part of a team or business ("Provider Team"), Arc Trips may offer the option to allocate the total Provider Payout for a booking among team members. Arc Trips Payment Services will execute these payments as instructed by authorized Provider Team members and is not responsible for losses related to errors or omissions in payment instructions provided by Providers.

3.11.2 Virtual Payment Cards

Eligible Providers may receive Payouts via virtual payment cards. For each reservation, Arc Trips Payment Services will provide a virtual card number and authorized amount.

Each virtual card will be available for charging 24 hours before the Guest's scheduled check-in time (or 24 hours before 3:00 pm local/UTC time for flexible check-ins) and will expire 180 days after check-in.

As a condition of payment, you agree to charge each virtual card no earlier than one day before check-in and no later than 180 days after check-in. Failure to charge the card confirms that no amount is due to you (e.g., due to Guest cancellation), and Arc Trips Payment Services may retain amounts paid by the Guest as compensation for facilitation services.

If you improperly use or overcharge a virtual card, or if a Guest cancels or is due a refund under an applicable cancellation policy, you agree to refund the virtual card if requested by Arc Trips Payment Services.

You are solely responsible for collecting payment directly from Guests for incidentals or upgrades requested at your property. You agree not to honor Guest requests that may result in Arc Trips Payment Services refunding any portion of the Total Price without confirmation from Arc Trips Payment Services.

Arc Trips Payment Services reserves the right to audit virtual card charges within one year and request supporting documentation. If you cannot provide sufficient documentation, Arc Trips Payment Services may initiate a chargeback or recover the amount through other means permitted under these Payment Terms.

4. Appointment of Arc Trips Payment Services as Limited Payment Collection Agent

4.1

Each Provider, including Provider Team members, appoints Arc Trips Payment Services as their payment collection agent solely for accepting and processing funds from Guests purchasing Provider Services on the Provider's behalf.

4.2

Each Provider agrees that payment made through Arc Trips Payment Services shall be considered equivalent to payment made directly to the Provider, and the Provider will provide the booked service as if payment was received directly. Providers agree that Arc Trips Payment Services may refund Guests according to the Terms of Service. Providers understand that Arc Trips Payment Services' obligation to pay the Provider depends on successful receipt of payments from Guests. Arc Trips Payment Services guarantees payments to Providers only for amounts successfully received from Guests. By accepting appointment as limited payment collection agent, Arc Trips Payment Services assumes no liability for acts or omissions of the Provider.

4.3

Each Guest acknowledges that, although Arc Trips Payment Services is not a party to the agreement between Guest and Provider, Arc Trips Payment Services acts as the Provider's payment collection agent for the limited purpose of accepting payments on the Provider's behalf. When a Guest pays Arc Trips Payment Services, their payment obligation to the Provider is fulfilled, and Arc Trips Payment Services becomes responsible for remitting funds to the Provider as described in these Payment Terms. If Arc Trips Payment Services fails to remit such amounts, the Provider may seek recourse against Arc Trips Payment Services but not the Guest.

5. General Terms

5.1 Fees

Arc Trips Payment Services may charge fees for certain Payment Services. Any applicable fees will be disclosed in the Terms of Service or on the Arc Trips platform.

5.2 Payment Authorizations

You authorize Arc Trips Payment Services to collect amounts due under these Payment Terms or the Terms of Service by either:

  • Charging or debiting the Payment Method associated with the relevant booking or any other authorized Payment Method in your Arc Trips account, or

  • Withholding the amount from your future Payout

Specifically, you authorize Arc Trips Payment Services to collect:

  • Any amount due to Arc Trips or Arc Trips Payment Services (including reimbursement for costs prepaid on your behalf)

  • Any amount due to a Provider from a Guest that Arc Trips Payment Services collects as payment agent

  • Applicable taxes

  • Resolution Center payments associated with your account

  • Damage claim amounts owed to Arc Trips or Arc Trips Payment Services

  • Overstay penalties and related collection costs

  • Service fees or cancellation fees imposed under the Terms of Service

  • Amounts already paid to you as a Provider despite Guest cancellation or booking cancellation by Arc Trips

  • Any amounts due under applicable safety program terms

For additional charges after booking (such as partial payments, booking modifications, resolution center payments, or damage claims), you authorize Arc Trips Payment Services to charge your Payment Method without further action. Arc Trips Payment Services will notify you in writing before charging such additional amounts.

If your Payment Method is expired, invalid, or cannot be charged, you remain responsible for uncollected amounts. You authorize Arc Trips Payment Services to charge the Payment Method again or use any other Payment Method on file. Your bank may charge overdraft or other fees for failed payments. Uncollected amounts may be subject to collection actions, including referral to collection agencies.

If Arc Trips Payment Services suspects fraudulent Provider activity (such as overpayment scams or booking fraud) and has released payment, Arc Trips Payment Services may recover such amounts by reducing future Payouts owed to you.

In addition to amounts due, you may be charged fees incidental to collection of delinquent amounts and chargebacks, including collection fees, convenience fees, or third-party charges.

5.3 Collections

5.3.1

If Arc Trips Payment Services cannot collect amounts owed under the Terms of Service and these Payment Terms, we may engage in collection efforts to recover such amounts.

5.3.2

Arc Trips Payment Services will consider owed amounts overdue when:

  • For authorized charges: 120 days have elapsed since Arc Trips Payment Services first attempted to charge your Payment Method or the associated services were provided, whichever is later

  • For withholdings from Provider Payouts: 270 days have elapsed since the adjustment to the Provider's account or the associated services were provided, whichever is later

5.3.3

Arc Trips Payment Services will consider overdue amounts in default after 365 days have elapsed:

  • For authorized charges: since Arc Trips Payment Services first attempted to charge your Payment Method or the associated services were provided, whichever is later

  • For withholdings from Provider Payouts: since the adjustment to the Provider's account or the associated services were provided, whichever is later

5.3.4

You explicitly agree that all communications regarding amounts owed will be made by email or phone using contact information you provided. Such communications may come from Arc Trips, Arc Trips Payment Services, or authorized third parties, including collection agents.

5.4 Payment Processing Errors

5.4.1

Arc Trips Payment Services will take necessary steps to correct payment processing errors that we identify. These steps may include crediting or debiting your original Payout Method or Payment Method so you receive or pay the correct amount. We may recover funds sent in error (including duplicate payments) by reducing future Payouts owed to you.

5.4.2

If you receive funds in error, you agree to immediately return such funds to Arc Trips Payment Services.

5.5 Refunds

5.5.1

Any refunds or credits due to a member under the Terms of Service, Major Disruption Policy, Rebooking and Refund Policy, or Experience Refund Policy will be initiated and processed by Arc Trips Payment Services according to these Payment Terms.

5.5.2

Arc Trips Payment Services will initiate refunds promptly. For Provider cancellations, Arc Trips Payment Services may hold funds up to 72 hours until the Guest is refunded or directs us to use the funds for rebooking. In some cases, you may have the option to receive credit instead of a cash refund, with timing communicated via the platform. Processing time for cash refunds or pre-authorization releases varies by Payment Method and payment system rules. During a Force Majeure Event affecting processing, Arc Trips Payment Services will initiate refunds as soon as practicable.

6. Damage Claims and Related Amounts

6.1

If you are responsible for damage claim amounts under the Terms of Service, Arc Trips Payment Services may charge the Payment Method used for booking or any other payment method in your account to collect these amounts, up to the maximum defined in the Terms of Service. By booking a listing, you agree that Arc Trips Payment Services may charge your Payment Method to collect damage claim amounts.

6.2

You agree that Arc Trips Payment Services may seek recovery under any insurance policies you maintain and may pursue any available remedies, including referral to collections agencies or legal claims related to damage claims or Provider protection program requests.

7. Abandoned Property

If Arc Trips Payment Services holds funds due to you (because we cannot issue a Payout or refund) or you do not use a gift card or credit for the period required by your state, country, or governing authority's unclaimed property laws, we may process these funds according to our legal obligations, including reporting and transferring such funds to the appropriate governing body.

8. Prohibited Activities

8.1

You are solely responsible for complying with laws, regulations, and tax obligations applicable to your use of Payment Services. In connection with these services, you may not and agree not to assist others to:

  • Breach laws, regulations, or third-party agreements

  • Violate the Terms of Service, Additional Legal Terms, Policies, or Standards

  • Use Payment Services for unauthorized commercial purposes

  • Register payment or payout methods that aren't yours or you lack authorization to use

  • Circumvent technological measures protecting the Payment Services

  • Take actions damaging proper functioning of Payment Services

  • Attempt to reverse engineer software used in Payment Services

  • Violate others' rights or cause harm

8.2

We must comply with internal policies and laws regarding money laundering prevention and sanctions enforcement, including those administered by the U.S. Office of Foreign Asset Control, U.S. Department of State, United Nations Security Council, European Union, or Treasury of the United Kingdom. You will comply with relevant financial sanctions and export control laws applicable to you and your jurisdiction.

9. Force Majeure

Arc Trips Payment Services shall not be liable for delays or failures in fulfilling obligations under these Payment Terms resulting from abnormal or unforeseeable circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, governmental actions, fires, floods, accidents, pandemics, epidemics, strikes, or transportation shortages ("Force Majeure Event").

10. Limitations of Liability and Disclaimers

10.1 "As Is" Service

When you choose to use our Payment Services, you do so at your own discretion and risk. To the maximum extent permitted by law, the Payment Services are provided on an "as is" and "as available" basis, without any warranties or conditions of any kind, either express or implied.

10.2 Limited Payment Collection Role

While Arc Trips Payment Services acts as a limited payment collection agent for Providers as described in Section 4, we expressly disclaim all liability for any action or inaction of any Member or third party. Our duties as an agent for Providers are strictly limited to those explicitly stated in these Payment Terms, and any additional obligations that might be implied by law are hereby expressly excluded to the maximum extent permitted by applicable law.

10.3 Identity Verification Disclaimer

If we elect to conduct identity verification on any Member, we disclaim, to the extent permitted by applicable law, any warranties, either express or implied, that such verification will identify past misconduct or guarantee future behavior of any Member.

10.4 Statutory Rights

The foregoing disclaimers apply to the maximum extent allowed by law. You may have statutory rights that cannot be lawfully excluded. However, the duration of any statutorily required warranties shall be limited to the maximum extent permitted by law.

11. Liability Limitations

11.1 Risk Allocation

You acknowledge and agree that, to the fullest extent permitted by law, the entire risk arising from your access to and use of the Payment Services remains with you. If you authorize another person to use your Arc Trips account, you are responsible for their actions. Neither Arc Trips Payment Services nor any other party involved in creating, producing, or delivering the Payment Services will be liable for:

  • Incidental, special, exemplary, or consequential damages

  • Lost profits

  • Loss of data or goodwill

  • Service interruption

  • Computer damage or system failure

  • Costs of substitute products or services

  • Damages for personal or bodily injury or emotional distress

This limitation applies regardless of the basis of your claim, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, even if Arc Trips Payment Services has been informed of the possibility of such damage, and even if a limited remedy set forth herein is found to have failed of its essential purpose.

Except for our obligations to pay amounts to applicable Providers pursuant to these Payment Terms or an approved payment request under the Provider Protection Program, Arc Trips Payment Services' aggregate liability arising out of or in connection with these Payment Terms and your use of the Payment Services will not exceed:

  • For Guests: the amounts you have paid or owe for bookings via the Arc Trips Platform in the twelve (12) month period prior to the event giving rise to the liability

  • For Providers: the amounts paid by Arc Trips Payment Services to you in the twelve (12) month period prior to the event giving rise to the liability

  • If no such payments have been made: one hundred U.S. dollars (US$100)

The limitations of damages set forth above are fundamental elements of the agreement between Arc Trips Payment Services and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. If you reside outside of the U.S., this does not affect Arc Trips Payment Services' liability for death or personal injury arising from negligence, nor for fraudulent misrepresentation, misrepresentation as to a fundamental matter, or any other liability which cannot be excluded or limited under applicable law.

12. Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend (at Arc Trips Payment Services' option), indemnify, and hold Arc Trips Payment Services and its affiliates and subsidiaries, including their officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

  • Your breach of these Payment Terms

  • Your improper use of the Payment Services

  • Your failure, or our failure at your direction, to accurately report, collect, or remit taxes

  • Your breach of any laws, regulations, or third-party rights

13. Modification, Term, Termination, and Other Measures

13.1 Modification

Except as otherwise required by applicable law, Arc Trips Payment Services may modify these Payment Terms at any time. If we make material changes to these Payment Terms, we will post the revised Payment Terms on the Arc Trips Platform and update the "Last Updated" date at the top of this document. If you are affected by the modification, we will provide you with notice of the modifications at least thirty (30) days before they become effective. If you continue to use the Payment Services after the date the revised Payment Terms become effective, your continued use will constitute acceptance of the changes.

13.2 Term

This agreement between you and Arc Trips Payment Services is effective:

  • If you are a Guest: from when you make your first booking

  • If you are a Provider: from when a Guest first books a Listing made available by you and you use the Payment Services

This agreement remains in effect until either you or we terminate it in accordance with Section 13.3.

13.3 Termination

You may terminate this agreement at any time by sending us an email or by deleting your Arc Trips account. Terminating this agreement will also serve as notice to cancel your Arc Trips account pursuant to the Terms.

Without limiting our rights specified below, Arc Trips Payment Services may terminate this agreement for convenience at any time by giving you thirty (30) days' notice via email to your registered email address.

Arc Trips Payment Services may also terminate this agreement immediately without notice if:

  • You have materially breached your obligations under this agreement

  • You have provided inaccurate, fraudulent, outdated, or incomplete information

  • You have violated applicable laws, regulations, or third-party rights

  • Arc Trips Payment Services believes in good faith that such action is reasonably necessary to protect other Members, Arc Trips, Arc Trips Payment Services, or third parties

13.4 Suspension and Other Measures

Arc Trips Payment Services may limit or temporarily or permanently suspend your use of or access to the Payment Services:

  • To comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body

  • If you have breached these Payment Terms, the Terms, applicable laws, regulations, or third-party rights

  • If you have provided inaccurate, fraudulent, outdated, or incomplete information regarding a Payment Method or Payout Method

  • For any amounts you owe under these Payment Terms that are overdue or in default

  • If Arc Trips Payment Services believes in good faith that such action is reasonably necessary to protect the personal safety or property of Arc Trips, its Members, Arc Trips Payment Services, or third parties, or to prevent fraud or other illegal activity

For unsuccessful payments due to card expiration, insufficient funds, or other reasons, we may temporarily suspend your access to the Payment Services until we can charge a valid Payment Method.

13.5 Appeal

If Arc Trips Payment Services takes any of the measures described in Sections 13.3 and 13.4, you may appeal such a decision by contacting customer service.

13.6 Effect of Termination

If you cancel your Arc Trips account as a Provider, or if Arc Trips Payment Services takes any of the measures described above, Arc Trips Payment Services may provide a full refund to any Guests with confirmed booking(s), and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled.

If you cancel your Arc Trips account as a Guest, Arc Trips Payment Services will initiate a refund for any confirmed booking(s) based on the Listing's cancellation policy.

If your access to or use of the Payment Services has been suspended or limited, or this agreement has been terminated by us, you may not register a new Arc Trips account or attempt to access and use the Payment Services through an Arc Trips account of another Member.

14. Governing Law and Dispute Resolution

14.1 Applicable Law

These Payment Terms are governed by California and United States law, without regard to conflict-of-law provisions. Legal proceedings (excluding small claims and arbitration-exempted matters) must be brought in San Francisco, California courts, unless we both agree to another location. Both parties consent to venue and personal jurisdiction in San Francisco.

15. Arbitration Agreement

Important: by agreeing to these terms, you and arc trips payment services agree to resolve disputes through binding individual arbitration and waive class action and jury trial rights.

15.1 Application

This Arbitration Agreement applies to all users contracting with Arc Trips Payment Services in North America.

15.2 Dispute Resolution Process

Arc Trips Payment Services offers a two-step dispute resolution process:

  1. Informal negotiation with customer service (Section 15.3)

  2. If necessary, binding arbitration under this Agreement

Both parties retain the right to pursue small claims court as an alternative to arbitration.

15.3 Mandatory Pre-Arbitration Process

Before initiating arbitration, both parties must:

  • Send a written "Pre-Dispute Notice" to the other party

  • Attempt good-faith negotiation for 30 days

Your Pre-Dispute Notice must be mailed to Arc Trips Payment Services' agent: [Insert Name and Address]. Arc Trips will send its notice to your account email.

Your Pre-Dispute Notice must include:

  • Date

  • Your name, mailing address, Arc Trips username, and account email

  • Your signature

  • Brief description of the dispute

  • Relief sought

Arbitration may only begin after the 30-day period if the dispute remains unresolved. The Pre-Dispute Notice is mandatory, and a copy must be attached to any arbitration demand.

15.4 Agreement to Arbitrate; Delegation

You and Arc Trips Payment Services agree that all disputes related to these Payment Terms or Payment Services will be settled by binding individual arbitration.

The arbitrator will decide any questions about whether this Arbitration Agreement applies, including questions about arbitrability, formation, enforcement, validity, scope, and interpretation of Section 15, as well as compliance with Pre-Dispute Notice requirements and payment responsibilities.

15.5 Exceptions to Arbitration

The following matters may be brought in court instead of arbitration:

  • Emergency injunctive relief for exigent circumstances

  • Public injunctive relief claims

  • Vexatious litigation claims

  • Individual claims of sexual assault or harassment from using the Arc Trips Platform

Public injunctive relief claims will proceed after arbitration of all arbitrable claims and will be stayed pending arbitration outcome.

15.6 Arbitration Rules and Governance

  • The Federal Arbitration Act governs this Agreement

  • Arbitration will be administered by the American Arbitration Association (AAA) under AAA Consumer Arbitration Rules

  • If AAA cannot administer the arbitration, the parties will select an alternative forum or request court appointment of an arbitrator

15.7 Arbitration Format and Location

  • For disputes up to $1,000,000: Remote video conference hearings

  • For disputes over $1,000,000: In-person hearings in San Francisco County

  • For disputes under $10,000: Document submission only, unless the arbitrator determines a hearing is necessary

15.8 Arbitration Fees

  • Fees follow AAA Rules and fee schedule

  • If your gross monthly income is below 300% of federal poverty guidelines, you may request a fee waiver

  • If a fee waiver is granted and you provide proof of income, Arc Trips will pay your share of arbitrator fees

15.9 Improper Claims

  • Either party may request sanctions for groundless, bad faith, harassing, or frivolous claims

  • The arbitrator may award the requesting party's reasonable legal fees upon finding improper claims

  • Either party may seek dismissal of arbitration filed in violation of this Agreement

  • The arbitrator can award actual damages, including legal fees, for initiating proceedings that violate this Agreement

15.10 Arbitrator's Decision

  • The arbitrator will issue a written decision with essential findings and conclusions

  • Relief may be awarded as allowed by law or AAA Rules

  • Declaratory or injunctive relief may only be awarded on an individual basis and limited to the claimant's individual claim

15.11 Jury Trial Waiver

Both parties waive the right to trial by jury for all arbitrable disputes.

15.12 No Class Actions

Both parties waive the right to participate in class actions, class-wide arbitration, private attorney general actions, or other representative proceedings.

The arbitrator may not consolidate multiple parties' claims unless agreed to in writing.

If this waiver is found unenforceable for any claim, only that specific claim will be severed from arbitration and brought in court. All other claims will remain in arbitration, and non-arbitrable claims will be stayed until arbitration concludes.

15.13 Mass Action Waiver

The parties agree to waive the right to participate in "Mass Actions" (100+ similar arbitration claims filed within 180 days involving same/similar parties, claims, or counsel).

The arbitrator for the first filed claim will determine whether claims constitute a Mass Action. If no arbitrator has been appointed, one will be appointed solely for this determination.

This provision does not prevent participation in mass settlements.

15.14 Mass Action Processing Requirements

If a Mass Action proceeds despite Section 15.13:

  • Claims will be grouped in batches of 200 in alphabetical order

  • Batches will be assigned sequential numbers and arbitrated one at a time

  • Each batch must be resolved within 240 days of pre-hearing conference

  • If a claim hasn't had a pre-hearing conference within 2 years of the latest-filed demand, the claimant may pursue it in court

15.15 Offers of Judgment

  • Either party may serve a written settlement offer at least 10 days before arbitration

  • If accepted, the arbitrator will issue an award accordingly

  • If rejected and the rejecting party fails to obtain a more favorable award, they cannot recover post-offer costs and must pay the offering party's costs from the time of the offer

15.16 Severability

Except as provided in Section 15.12, if any portion of this Arbitration Agreement is found illegal or unenforceable, it will be severed while the remainder remains in effect.

15.17 Changes to Arbitration Agreement

If Arc Trips amends Section 15 after your last acceptance of these Terms, you may reject the change by sending written notice within 30 days, including:

  • Your name, mailing address, date of notice, Arc Trips username, account email

  • Your signature

  • Clear statement of opt-out from amended Section 15

Send opt-out by mail to: [Insert Physical Address], Attn: Arbitration Opt-Out, or email: [Insert Email].

Rejecting new changes does not revoke prior agreements to arbitrate, which remain enforceable for existing disputes.

15.18 Survival

Except as provided in Section 15.16 and subject to Section 13.7, this Arbitration Agreement survives termination of these Payment Terms and continues to apply even if you stop using Payment Services or terminate your Arc Trips account.

16. Miscellaneous

16.1 Complete Agreement

These Payment Terms constitute the entire agreement between Arc Trips Payment Services and you regarding the subject matter, superseding all prior understandings or agreements.

If any provision is invalid or unenforceable, it will be struck without affecting the validity of remaining provisions.

16.2 No Waiver

Arc Trips' failure to enforce any right or provision does not constitute a waiver unless acknowledged in writing.

Exercise of remedies under these Terms is without prejudice to other legal remedies.

16.3 Assignment

  • You may not assign, transfer, or delegate this agreement without Arc Trips' prior written consent

  • Arc Trips may assign, transfer, or delegate this agreement with 30 days' notice

16.4 Notices

Unless specified otherwise, notices will be in writing and delivered by Arc Trips via email or platform notification. Receipt date is when Arc Trips transmits the notice.

17. Currency Conversion

17.1

Payments to Providers and applicable fees may require foreign exchange agreements or other measures according to applicable laws based on guest and Provider countries of residence.

18. Additional Clauses for Business Owners

The following applies when using Payment Services as a representative of a business, company, or legal entity:

18.1

You accept these Terms and are responsible for acts or omissions of employees or agents using the Payment Service on your behalf.

18.2

You and your Representative affirm authorization to provide information in Sections 2.1 and 3.2, and your Representative has authority to bind you to these Terms. We may require documentation demonstrating this authority.

18.3

You represent and warrant that:

  • You are duly organized, valid, and in good standing under your country's laws

  • You have all rights, power, and authority to enter this agreement and grant the licenses herein

18.4

For Arc Trips for Business accounts, you authorize charges to your Payment Method for bookings requested by authorized employees or third parties.

18.5

You authorize Arc Trips Payment Services to store Payout Methods, remit payments, and take actions permitted in these Terms regarding Payout Methods linked to your account.

18.6

If you handle payment card information, you agree to comply with Payment Card Industry Data Security Standards. For compliance tools, see https://www.visa.com/cisp and https://www.mastercard.com/sdp.

By using the Arc Trips platform or its Payment Services, you acknowledge that you have read, understood, and agree to be bound by these Payment Terms.
